Terms and Conditions

1. Introduction

These Terms and Conditions govern the provision of website design, website management, hosting, domain registration and related services by Innovations and More Ltd ("we", "us", "our").

By purchasing a website package, subscribing to a management plan, submitting a website request or using our services, you agree to these Terms and Conditions.

2. Website Packages

Starter Website

The Starter Website package is available for a one-off fee of £299, plus an active Website Care or Website Care Plus subscription.

The Starter Website includes a professionally designed single-page website as described on the OnlinePortfolios website.

Professional Website

The Professional Website package is available for a one-off fee of £499 plus an active Website Care Plus or Website Care subscription.

The Professional Website includes the features described on the OnlinePortfolios website at the time of purchase.

Premium Website

Premium Website projects are individually scoped and quoted based on requirements.

Additional terms may apply.

3. Website Care Plans

Website Care and Website Care Plus are ongoing monthly services. They renew automatically each month until cancelled in accordance with Clause 13. There is no minimum service term and no annual commitment for these plans unless otherwise agreed in writing.

Website Care

£29 per month

Keeps your website secure, online and running smoothly. Includes everything required to keep your website live and maintained.

Includes:

• Website hosting
• Domain management
• Keeping the website online
• Security and technical maintenance

Does not include content updates, website changes, or design changes.

Website Care Plus

£49 per month

Everything included in Website Care, plus ongoing content updates and website changes whenever you need them.

Includes:

• Hosting
• SSL certificate
• Security monitoring
• Website backups
• Software updates
• Up to 5 content update requests per calendar month

Unused update requests do not carry forward.

4. Minor Content Updates

Minor content updates include:

• Text changes
• Image replacements
• Contact detail updates
• Service description updates
• Social media link updates
• Document uploads

Innovations and More Ltd reserves the sole right to determine whether a request constitutes a minor content update.

5. Major Changes

The following are not included within monthly plans and may incur additional charges:

• New pages
• Website redesigns
• New functionality
• Booking systems
• Membership systems
• E-commerce functionality
• Custom integrations
• Copywriting
• Branding services
• Marketing services
• SEO services

Additional work will be quoted separately.

6. Payment

All fees are payable in advance.

Professional Website build fees must be paid before work commences.

Monthly subscriptions renew automatically until cancelled in accordance with these Terms.

Failure to make payment may result in suspension or termination of services.

7. Domain Names

Innovations and More Ltd may register and manage domain names on behalf of clients as part of its managed website service.

Clients are granted the right to use the domain name during the term of an active service agreement.

Clients may request transfer of the domain name upon termination of services.

Domain transfers are subject to:

• A £100 domain transfer fee;
• Payment of any applicable registrar transfer costs;
• Settlement of all outstanding invoices.

Innovations and More Ltd will take reasonable steps to facilitate transfer once all applicable fees have been paid.

8. Hosting

All websites require an active Website Care or Website Care Plus subscription.

If a subscription is cancelled or terminated, hosting services may cease and the website may be taken offline.

9. Business Email

Business email accounts included within applicable plans are provided for normal business use.

Innovations and More Ltd reserves the right to suspend or restrict email services where necessary to maintain service quality, security or compliance.

10. Client Content

Clients retain ownership of their content, photographs, logos and intellectual property.

Clients warrant that they have all necessary rights and permissions to provide content for use on their website.

Clients agree to indemnify Innovations and More Ltd against claims arising from content supplied by the client.

11. Website Delivery

Website development will commence once all required information, files and content have been received.

Project timescales are estimates only and may vary depending on client responsiveness and project complexity.

12. Service Term

Website packages (including Starter, Professional and Premium) and Website Care / Website Care Plus subscriptions are not subject to a minimum service term or annual commitment, unless otherwise agreed in writing.

Website Care and Website Care Plus continue on a month-to-month basis until cancelled in accordance with Clause 13.

Cancellation does not make remaining future months of a fixed term immediately due and payable, because no such minimum fixed term applies under these Terms.

13. Cancellation

Clients may cancel Website Care or Website Care Plus by providing at least 30 days' written notice.

Cancellation of the monthly Care service ends the Care subscription after the notice period. It does not entitle the client to a refund of the one-off website creation/setup fee.

Cancellation does not entitle the client to a refund for Care subscription charges already paid for the current or previous periods, except where required by law.

Upon cancellation of Care:

• Website management services will cease;
• Hosting services may cease;
• Email services may cease;
• Domain transfer may be requested in accordance with Clause 7.

14. Website Creation Fees and Refunds

The website creation/setup fee is a one-off fee for design and development work. It is separate from the monthly Website Care service.

Once development has commenced, the website creation/setup fee is non-refundable, except where a refund or cancellation right is required by law.

Completion or delivery of the website does not create a right to a refund of the website creation/setup fee.

Cancelling the monthly Website Care service does not entitle the client to a refund of the website creation/setup fee.

Subscription payments already paid are non-refundable, except where required by law.

No refunds will be issued for partially used subscription periods, except where required by law.

15. Intellectual Property

Clients retain ownership of content supplied by them.

Innovations and More Ltd retains ownership of proprietary systems, templates, internal tools and development processes used to provide services unless otherwise agreed in writing.

16. Limitation of Liability

Innovations and More Ltd shall not be liable for:

• Loss of profits
• Loss of revenue
• Loss of business
• Loss of data
• Indirect or consequential losses

arising from the use of our services.

Our total liability shall not exceed the amount paid by the client to Innovations and More Ltd during the previous twelve months.

17. Privacy

Personal data will be processed in accordance with our Privacy Policy.

18. Changes to These Terms

Innovations and More Ltd reserves the right to amend these Terms and Conditions at any time.

The latest version will be published on our website.

19. Governing Law

These Terms and Conditions are governed by the laws of England and Wales.

Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales.
