Terms and Conditions

1. Introduction

These Terms and Conditions govern the provision of website design, website management, hosting, domain registration and related services by Innovations and More Ltd ("we", "us", "our").

By purchasing a website package, subscribing to a management plan, submitting a website request or using our services, you agree to these Terms and Conditions.

2. Website Packages

Starter Website

The Starter Website package is available for a one-off fee of £299, plus an active Website Care or Website Care Plus subscription.

The Starter Website is limited to one standard website page. It includes a professionally designed single page as described on the OnlinePortfolios website. It does not include additional separate pages.

The Starter Website does not include a contact form, enquiry form, or contact/enquiry form functionality. It does not include a Blog or News section, ongoing website management or ongoing SEO.

Professional Website

The Professional Website package is available for a one-off fee of £499 plus an active Website Care Plus or Website Care subscription.

The Professional Website includes the features described on the OnlinePortfolios website at the time of purchase, including up to five standard website pages.

The Professional Website includes up to five standard website pages. Additional pages are not included and will be quoted separately. Additional pages are only developed following a separate quote and the client's approval.

Standard legal or compliance pages, such as a Privacy Policy, Cookie Policy and Terms and Conditions, may be treated separately where these are required or supplied by the client. They are not an entitlement to unlimited additional pages under the Professional Website package.

The Professional Website does not include a contact form, enquiry form, or contact/enquiry form functionality. It does not include a Blog or News section, more than five standard website pages, ongoing SEO, ongoing content creation, unlimited design revisions or unlimited development work.

The Starter Website and Professional Website packages each include two rounds of revisions, as set out in Clause 12.

Premium Website

Premium Website projects are individually scoped and quoted based on requirements.

Additional terms may apply.

3. Website Care Plans

Website Care and Website Care Plus are ongoing monthly services subject to an initial minimum 12-month term. By subscribing, the customer is committed to that initial minimum 12-month term. Subscription fees are payable monthly in advance throughout the initial minimum 12-month term, except where a cancellation or refund right is required by law. Following the initial 12-month term, the subscription continues on a rolling monthly basis and automatically renews each month until cancelled in accordance with Clause 14.

Contact forms are not included in the standard website build packages. Contact forms or other interactive functionality may be provided as a separately agreed and separately priced service. Purchasing the one-off website build alone does not create an entitlement to a contact or enquiry form. Standard Website Care and Website Care Plus do not automatically include a contact form or enquiry form.

Website Care

Keeps your website secure, online and running smoothly. Includes everything required to keep your website live and maintained.

Includes:

• Website hosting
• Domain management
• Keeping the website online
• Security and technical maintenance

Does not include content updates, website changes, or design changes.

Website Care Plus

£49.99/month

Everything included in Website Care, plus ongoing content updates and website changes whenever you need them.

Includes:

• Hosting
• SSL certificate
• Security monitoring
• Website backups
• Software updates
• Up to 5 content update requests per calendar month

Unused update requests do not carry forward.

4. Minor Content Updates

Minor content updates include:

• Text changes
• Image replacements
• Contact detail updates
• Service description updates
• Social media link updates
• Document uploads

Innovations and More Ltd reserves the sole right to determine whether a request constitutes a minor content update.

5. Major Changes

The following are not included within monthly plans and may incur additional charges:

• New pages
• Website redesigns
• New functionality
• Booking systems
• Membership systems
• E-commerce functionality
• Custom integrations
• Copywriting
• Branding services
• Marketing services
• SEO services

Additional work will be quoted separately.

6. Payment

All fees are payable in advance.

Professional Website build fees must be paid before work commences.

Monthly subscription fees for Website Care and Website Care Plus are payable monthly in advance throughout the initial minimum 12-month term, except where a cancellation or refund right is required by law. Following the initial 12-month term, the subscription will continue on a rolling monthly basis and will automatically renew each month until cancelled in accordance with these Terms.

Failure to make payment may result in suspension or termination of services.

7. Domain Names

Innovations and More Ltd may register and manage domain names on behalf of clients as part of its managed website service.

Clients are granted the right to use the domain name during the term of an active service agreement.

Clients may request transfer of the domain name upon termination of services.

Domain transfers are subject to a £20 domain transfer fee.

Domain transfers are also subject to:

• Payment of any applicable registrar transfer costs;
• Settlement of all outstanding invoices.

Innovations and More Ltd will take reasonable steps to facilitate transfer once all applicable fees have been paid.

8. Hosting

All websites require an active Website Care or Website Care Plus subscription.

If a subscription is cancelled or terminated, hosting services may cease and the website may be taken offline.

9. Business Email

Business email accounts included within applicable plans are provided for normal business use.

Where business email is included, it is limited to the agreed initial setup and the provision of the email service as part of the applicable plan. It does not include ongoing email administration, troubleshooting, support for third-party email applications or devices, mailbox management, or resolution of future email/DNS problems unless separately agreed.

Innovations and More Ltd reserves the right to suspend or restrict email services where necessary to maintain service quality, security or compliance.

10. Client Content

Clients retain ownership of their content, photographs, logos and intellectual property.

The client is responsible for supplying the text, images, logos, branding materials, testimonials and other materials required for the website.

The website build does not include unlimited copywriting, rewriting, image sourcing, content population or ongoing content management unless specifically agreed.

Delays in providing content, information, feedback or approvals may affect the project completion date.

Clients warrant that they have all necessary rights and permissions to provide content for use on their website.

Clients agree to indemnify Innovations and More Ltd against claims arising from content supplied by the client.

11. Website Delivery

Website development will commence once all required information, files and content have been received.

Project timescales are estimates only and may vary depending on client responsiveness and project complexity.

12. Revisions and Project Scope

Revisions

Both website packages include two rounds of revisions. Each revision round must be submitted as one consolidated list of requested changes.

Each revision round includes up to two hours of reasonable revision work. The two-hour allowance is a maximum amount of revision work included within each revision round. It is not an entitlement to two hours of development time.

The revision allowance applies to the work required to implement the requested amendments, rather than to the number of individual change requests.

A request does not become an included revision merely because it is submitted during a revision round. Revision requests must relate to reasonable amendments within the original agreed website scope.

A consolidated list containing a large number of requests remains subject to the two-hour maximum. Combining a large number of requests into one consolidated list does not increase the included revision allowance.

Revision requests will be reviewed by OnlinePortfolios.net before work begins. If a submitted revision list is reasonably expected to exceed the included revision allowance, the additional work will be quoted separately and will only be undertaken following the client's approval. Additional or out-of-scope requests are reviewed and quoted separately before any additional work begins.

The revision allowance is intended for reasonable amendments to the agreed website design and content. It does not provide an entitlement to unlimited changes or unlimited development time.

What is included as a revision

Reasonable revisions may include:

• Changing existing wording supplied by the client
• Adjusting an existing image
• Minor changes to colours
• Minor spacing or layout adjustments
• Minor amendments to existing sections
• Reasonable amendments to the agreed design

The following are not treated as ordinary revisions and may be quoted separately:

• Rebuilding the website around a different design concept
• Adding new pages
• Adding new functionality
• Creating substantially new sections
• Replacing the agreed design with a different design direction
• Changing the project requirements after development has started
• Repeatedly reversing previously approved decisions
• Requests that require substantial additional development

New pages, new functionality, changed requirements and substantial redesigns remain additional work even when requested during a revision round. Adding a new page is additional scope even if requested during a revision round.

Design scope

The Professional Website includes a bespoke design based on the agreed requirements and one agreed design direction. Unlimited alternative design concepts, repeated redesigns or a complete change of design direction are not included. Substantial redesigns or changes of direction may be quoted separately.

The Starter Website includes a professional design for the agreed single-page website. It does not include unlimited alternative design concepts or a complete change of design direction after approval.

Contact forms

Contact forms are not included in the standard website build packages. Contact forms or other interactive functionality may be provided as a separately agreed and separately priced service.

Blog or News

The Starter Website and Professional Website packages do not include a Blog or News section, or Blog/News functionality. A Blog or News section is not included in the one-off website build unless specifically agreed and quoted separately.

Testimonials section

Where a testimonials section is included, it means a testimonials section within the agreed website design. It does not include unlimited testimonial entry, ongoing content management or ongoing updating unless specifically agreed.

Basic SEO setup

Basic SEO setup means basic on-page website setup included as part of the website build. It does not include guaranteed rankings, ongoing SEO, monthly SEO, link building, ongoing keyword campaigns, ongoing content optimisation, SEO reporting or SEO management. It does not imply that the website will achieve any particular search ranking or traffic level. Any ongoing SEO service must be separately agreed and charged.

Business email setup

Business email setup refers to the initial setup of the agreed business email service/address. It does not include ongoing email administration, troubleshooting, support for third-party email applications or devices, mailbox management, or resolution of future email/DNS problems unless separately agreed. The included setup is limited to the agreed initial business email setup.

Lead-focused website sections

Lead-focused website sections refer to sections within the agreed website pages designed to encourage visitors to take an agreed action. They do not include advertising campaigns, marketing campaigns, lead-generation campaigns, CRM integrations, contact forms, ongoing conversion optimisation or guaranteed lead generation.

Professional branding

Professional branding refers to the professional application of the client's existing branding, or an agreed visual treatment for the website. It does not include unlimited branding concepts, comprehensive corporate identity development or unlimited logo/brand design work unless separately agreed.

Changes to requirements

The website build is based on the requirements agreed at the start of the project. Requests that change the original requirements, structure, functionality, page requirements or design direction may be treated as additional work and quoted separately. Additional work is only undertaken following a separate quote and the client's approval.

Changes outside the agreed scope

The following are not included within the revision allowance and may be quoted separately. This work is only undertaken following a separate quote and the client's approval:

• New pages
• New functionality or features
• Major redesigns
• Significant changes to the approved layout or structure
• Changes to the original requirements
• Substantial new content or sections
• Work arising from a change of direction after the original design has been approved
• Additional revision rounds
• Any other work that falls outside the agreed website specification

Website approval

Once the agreed website scope has been completed, the included revision rounds have been used or the client has approved the website, the website build is considered complete.

Any subsequent changes or requests will be treated as additional work and may incur an additional charge. Additional work will be quoted separately and undertaken only following the client's approval.

13. Service Term

Website Care and Website Care Plus have an initial minimum 12-month term. The customer is committed to the initial minimum 12-month term. Subscription fees are payable monthly in advance throughout that term, except where a cancellation or refund right is required by law.

Following the initial 12-month term, Website Care and Website Care Plus continue on a rolling monthly basis and automatically renew each month until cancelled in accordance with Clause 14.

Website packages (including Starter, Professional and Premium) are one-off website creation/setup fees. They are separate from the Website Care / Website Care Plus subscription and do not themselves constitute a recurring service term.

14. Cancellation

Website Care and Website Care Plus are subject to an initial minimum 12-month term as set out in Clause 13. During that initial minimum 12-month term, the customer cannot simply cancel without remaining liable for the monthly subscription fees, except where a cancellation or refund right is required by law.

Following the initial 12-month term, the subscription continues on a rolling monthly basis and automatically renews each month until cancelled in accordance with these Terms. Clients may cancel Website Care or Website Care Plus by providing at least 30 days' written notice, and the service will continue until that notice takes effect.

Notice given during the initial minimum 12-month term will take effect at the end of that term, or 30 days after notice is given, whichever is later.

Nothing in these Terms excludes or overrides any statutory cancellation or refund rights that cannot legally be excluded.

Cancellation of the monthly Care service ends the Care subscription when the notice takes effect as set out in this Clause 14. It does not entitle the client to a refund of the one-off website creation/setup fee, except where a refund or cancellation right is required by law.

Cancellation does not entitle the client to a refund for Care subscription charges already paid for the current or previous periods, except where required by law.

Upon cancellation of Care:

• Website management services will cease;
• Hosting services may cease;
• Email services may cease;
• Domain transfer may be requested in accordance with Clause 7.

15. Website Creation Fees and Refunds

The website creation/setup fee is a one-off fee for design and development work. It is separate from the monthly Website Care service.

Once development has commenced, the website creation/setup fee is non-refundable, except where a refund or cancellation right is required by law.

Completion or delivery of the website does not create a right to a refund of the website creation/setup fee.

Cancelling the monthly Website Care service does not entitle the client to a refund of the website creation/setup fee.

Subscription payments already paid are non-refundable, except where required by law.

No refunds will be issued for partially used subscription periods, except where required by law.

16. Intellectual Property

Clients retain ownership of content supplied by them.

Innovations and More Ltd retains ownership of proprietary systems, templates, internal tools and development processes used to provide services unless otherwise agreed in writing.

17. Limitation of Liability

Innovations and More Ltd shall not be liable for:

• Loss of profits
• Loss of revenue
• Loss of business
• Loss of data
• Indirect or consequential losses

arising from the use of our services.

Our total liability shall not exceed the amount paid by the client to Innovations and More Ltd during the previous twelve months.

18. Privacy

Personal data will be processed in accordance with our Privacy Policy.

19. Changes to These Terms

Innovations and More Ltd reserves the right to amend these Terms and Conditions at any time.

The latest version will be published on our website.

20. Governing Law

These Terms and Conditions are governed by the laws of England and Wales.

Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales.
